PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY BEFORE USING THE WEBSITE https://aether-ai.eu (“Site”) OR ANY SERVICES PROVIDED BY AETHER SIMULATION (“AETHER,” “we,” “us,” “our”). By accessing or using the Site, the cloud platform, application programming interface (API), or related services (collectively, “Service”), you (“User,” “you,” “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Account Registration
To access most features, you must create an account by providing accurate, complete information and keeping it up to date. You are responsible for maintaining confidentiality of your credentials and for all activities that occur under your account.
3. Subscription Plans & Fees
3.1 Plans. We offer free, academic, and commercial subscription tiers as described on the Site.
3.2 Billing. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise agreed in writing. All fees are non-refundable except as required by law.
3.3 Taxes. Prices exclude VAT and other applicable taxes, which you agree to pay.
3.4 Changes. We may modify plan features or pricing; changes take effect at the start of your next billing cycle. We will give at least 30 days’ notice by email or via the dashboard.
4. Usage Limits & Fair Use
GPU hours, storage quotas, and API call limits depend on your plan. Excess usage may incur additional charges at the rates published on the Site. We reserve the right to throttle or suspend activity that materially exceeds reasonable use or threatens system stability.
5. License Granted to You
Subject to payment of applicable fees and compliance with these Terms, AETHER grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal research or business purposes.
6. User Content & Data
6.1 Definition. “Molecular data,” “input files,” “results,” and any files or text you upload (“User Content”) remain yours.
6.2 Licence to AETHER. You grant us a worldwide, limited licence to store, process, and transmit User Content for the purpose of providing the Service.
6.3 Back-ups. You are responsible for backing up your data. We retain completed jobs for 90 days by default unless otherwise specified in your plan.
7. Prohibited Conduct
You agree not to:
a) Reverse-engineer, decompile, or disassemble any part of the Service;
b) Use the Service to develop competing products;
c) Upload malicious code, infringing material, or data you have no right to share;
d) Violate export-control or sanction laws;
e) Interfere with or disrupt the Service or servers.
8. Intellectual Property
All software, documentation, and content (excluding User Content) are owned by AETHER or its licensors and are protected by copyright, trademark, and other laws. No rights are granted except as expressly set out in these Terms.
9. Third-Party Services
The Service may contain links or integrations to third-party services (e.g., payment processors, visualisation tools). Your use of those services is governed solely by the third party’s terms; we are not responsible for them.
10. Indemnification
You agree to indemnify, defend, and hold harmless AETHER, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your: (i) use of the Service, (ii) breach of these Terms, or (iii) violation of any law or third-party right.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RESULTS WILL BE ACCURATE, ERROR-FREE, OR UNINTERRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AETHER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT SHALL AETHER BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.
13. Termination
13.1 By You. You may stop using the Service at any time; cancelling a paid plan ends billing at the end of the current term.
13.2 By AETHER. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create security risks. Where feasible, we will give 14 days’ notice.
13.3 Effect. Upon termination, your licence ends and you must cease using the Service. Sections 8–12, 14–17 survive termination.
14. Governing Law & Jurisdiction
These Terms are governed by Luxembourg law, excluding conflict-of-law rules. Any dispute arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.
15. Export Compliance
You must comply with all applicable export-control and sanctions laws. You may not use or access the Service if you are located in, or a national of, a country subject to EU, U.S., or U.N. embargoes.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email or via the dashboard at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Entire Agreement & Severability
These Terms constitute the entire agreement between you and AETHER regarding the Service and supersede all prior agreements. If a court finds any provision unenforceable, the remaining provisions will remain in full force and effect.
